1. Acceptance of Terms

By engaging Jinora Studio's services or using our website (jinorastudio.com), you agree to be bound by these Terms & Conditions. If you do not agree, please discontinue use immediately. These terms apply to all clients, visitors, and users.

2. Services

Jinora Studio provides website development, AI automation, digital marketing, brand identity, e-commerce development, and website maintenance services. The specific scope, timeline, deliverables, and pricing for each project are agreed upon in a written proposal or contract before work commences.

3. Project Engagement

All projects are governed by the following terms unless otherwise agreed in writing:

  • A written proposal or statement of work (SOW) is provided before project commencement
  • Projects begin upon receipt of the agreed advance payment (typically 50%)
  • Timelines are estimates. Delays caused by client feedback or approval delays may extend timelines
  • Scope changes after project commencement may result in additional charges and revised timelines
  • The final deliverable is released after full payment is received

4. Payment Terms

  • Standard payment: 50% advance, 50% on project delivery
  • Payments are non-refundable once work has commenced on the relevant phase
  • Late payments (beyond 7 days of invoice date) may incur a 2% monthly interest charge
  • We reserve the right to suspend work for overdue payments
  • All prices are in INR unless otherwise specified. International clients pay in USD at the agreed rate

5. Intellectual Property

Upon full payment, the client owns all custom design assets and code created specifically for their project. Jinora Studio retains the right to display the completed work in our portfolio and case studies unless the client requests otherwise in writing.

Third-party assets (fonts, stock images, plugins, open-source libraries) remain subject to their respective licenses. The client is responsible for purchasing any required commercial licenses for third-party assets.

6. Client Responsibilities

Clients are responsible for:

  • Providing accurate project requirements, content, images, and branding materials in a timely manner
  • Reviewing and approving deliverables within the agreed review period (typically 5 business days)
  • Ensuring all content provided does not infringe on third-party intellectual property rights
  • Maintaining proper backups of existing website content before any migrations or updates

7. Warranties and Limitation of Liability

We deliver services with professional care and skill. However, we do not guarantee specific business outcomes (e.g., search rankings, revenue growth, lead generation volume) as these depend on many factors outside our control.

To the maximum extent permitted by law, Jinora Studio's liability is limited to the amount paid for the specific service that gave rise to the claim. We are not liable for indirect, consequential, or incidental damages.

8. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business plans, financial information, technical specifications, and client data. This obligation survives the termination of the agreement.

9. Termination

Either party may terminate the engagement with 7 days written notice. In the event of termination, the client is responsible for payment of all work completed up to the termination date. Advance payments are non-refundable for work already in progress.

10. Governing Law

These Terms & Conditions are governed by the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.
